1. Acceptance of Terms

By accessing or using GetSetReply ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Service on behalf of a business or organization, you represent that you have the authority to bind that entity to these Terms. If you do not agree to these Terms, you may not access or use the Service.

2. Account Responsibilities

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to:

• Provide accurate and complete information when creating your account.
• Notify us immediately if you suspect unauthorized access to your account.
• Keep your email address and contact information up to date.
• Not share your account credentials with third parties.

3. Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You may not:

• Use the Service to generate fraudulent, misleading, or defamatory review responses.
• Attempt to manipulate review platforms in violation of their terms of service.
• Use automated tools to access the Service in a manner that exceeds reasonable usage or places undue load on our infrastructure.
• Reverse-engineer, decompile, or disassemble any part of the Service.
• Resell, sublicense, or redistribute the Service without prior written consent.
• Use the Service to manage reviews or send communications on behalf of any business for which you are not an authorized representative.

3a. Communication Compliance

If you use GetSetReply's outreach features to contact customers via email or SMS, you are solely responsible for complying with all applicable laws and regulations governing those communications, including but not limited to the Telephone Consumer Protection Act (TCPA), the CAN-SPAM Act, and any applicable state or international privacy laws. GetSetReply provides tools to help you manage consent and opt-outs, but compliance with the law is your responsibility, not ours.

4. Subscription & Billing

GetSetReply offers subscription-based plans with different feature tiers. By subscribing to a paid plan, you agree to the following:

• Credits: Certain plans include a monthly allocation of AI response credits. Unused credits do not roll over to the next billing cycle.
• Renewals: Subscriptions renew automatically at the end of each billing period unless you cancel before the renewal date.
• Cancellation: You may cancel your subscription at any time from your account settings. Cancellation takes effect at the end of the current billing period, and you will retain access until that date.
• Refunds: All fees are non-refundable except where required by applicable law.
• Price changes: We may adjust pricing with at least 30 days' notice before the start of a new billing cycle.

5. Intellectual Property

All content, trademarks, and intellectual property associated with the Service are owned by GetSetReply or its licensors. Your use of the Service does not grant you any ownership rights.

• Your content: You retain all rights to the reviews, business information, and other content you provide to the Service.
• AI-generated responses: Responses generated by our AI are licensed to you for use in connection with your business. You may edit, publish, and reuse these responses without restriction.
• Feedback: Any feedback, suggestions, or improvement ideas you submit to us may be used without obligation to you.

6. Limitation of Liability

To the fullest extent permitted by law, GetSetReply and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising from your use of the Service.

Our total liability for any claim arising from or related to these Terms or the Service shall not exceed the amount you paid to us in the twelve (12) months preceding the claim. The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied.

7. Termination

We reserve the right to suspend or terminate your account at any time if you violate these Terms or engage in activity that is harmful to the Service or other users. Upon termination:

• Your right to access the Service will cease immediately.
• We may delete your account data after a reasonable retention period, unless we are required by law to retain it.
• You may request an export of your data before termination takes effect by contacting support.

8. Dispute Resolution & Arbitration

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions.

Any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be resolved through binding arbitration administered by a recognized arbitration provider, in accordance with its rules then in effect. By using the Service, you agree to waive your right to participate in a class action lawsuit or class-wide arbitration. Each party shall bear its own costs and fees associated with the arbitration to the extent permitted by applicable law.

This arbitration agreement shall survive termination of these Terms and your use of the Service.
